Service Fees and Payment Terms

Our service fees are structured as follows:

  • Management Fee: 35% of gross revenue generated through our services
  • Payment Schedule: Fees are calculated and processed monthly

  • Taxes: All fees are exclusive of applicable taxes

We reserve the right to modify our fee structure with 30 days' written notice. Continued use of our services after such notice constitutes acceptance of the new terms.

Late payments may result in service suspension or termination.

Creator Responsibilities

As a creator using our services, you agree to:

  • Grant necessary access permissions for service delivery
  • Maintain compliance with platform terms of service
  • Provide timely responses to our communications
  • Ensure content meets platform guidelines and legal requirements
  • Maintain appropriate business insurance if required

  • We will never disclose your relationship with us without explicit written consent
  • All communications and business information are protected

Termination

Either party may terminate this agreement:

  • Immediate: For material breach of these Terms

  • Final Payment: Outstanding fees must be paid within 30 days

Upon termination, we will return any remaining funds and provide a final performance report.

Limitation of Liability

To the maximum extent permitted by law:

  • VYVE's total liability shall not exceed the amount paid for services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for losses due to platform changes or technical issues
  • Force majeure events are excluded from liability

Indemnification

You agree to indemnify and hold harmless VYVE from any claims arising from:

  • Your violation of these Terms
  • Your content or activities on platforms
  • Your violation of third-party rights
  • Your failure to comply with applicable laws

Dispute Resolution

In the event of disputes:

  • Parties agree to attempt good-faith resolution through direct communication
  • If unresolved, disputes will be settled through binding arbitration

Governing Law
